Company Secretary is one of the most promising careers, where you get to act as an in-house legal adviser. An expert in corporate and security laws, as a CS you will have endless possibilities. A CS can work in a government or private sector. You could even choose to freelance or work part-time for many different companies. If you are interested in a career as a Company Secretary but not sure how to go about it, read along! Here is a complete step by step guide on how you too can become a Company Secretary.

What role does a Company Secretary play?

A Company Secretary is the legal advisor of a company that mainly acts as a consultant on matters of administration, finance, accounting and management.
Along with these, a CS oversees policies and maintains statutory books.
Having a vast knowledge of the corporate laws and administration, a CS provides advice on business and corporate laws. They look after matters related to property and insurance as well, in addition to providing assistance in planning.

Company Secretary Course

The course for becoming a Company Secretary is divided into 3 groups – Foundation, Executive and Professional. You can enrol for the Foundation Course after you have completed your 12th. However, if you have already completed your degree you can jump right to the second level, that is Executive course.

1. Foundation Course

  • Advanced Tax Laws and Practice
  • Drafting, Appearances and Pleadings
  • Electives (You can pick one)
  • Banking Law and Practice
  • Insurance Law and Practice
  • Capital, Commodity and Money Market
  • Intellectual Business – Laws and Practices
  • Intellectual Property Rights – Law and Practice

2. Executive Course

Group 1

  • Company Law
  • Economic and Commercial Laws
  • Tax Laws and Practice
  • Cost and Management Accounting

Group 2

  • Company Accounts and Auditing Practices
  • Industrial, Labour and General Laws
  • Capital Markets and Securities Laws

3. Professional Course

Group 1

  • Advanced Company Law and Practice
  • Corporate Restructuring, Valuation and Insolvency
  • Secretarial Audit, Due Diligence and Compliance Management

Group 2

  • Financial, Treasury and Forex Management
  • Ethics, Governance and Sustainability
  • Information Technology and Systems Audit

Group 3

  • Business Environment & Entrepreneurship
  • Business Economics
  • Business Management, Ethics, Laws and Communication
  • Fundamentals of Accounting and Auditing

You need to score a minimum of 40% in each paper to clear the CS Foundation Exam. Admission to these courses are available throughout the year and the examinations are held twice a year.

How long does it take to complete CS?

The time taken by an individual to complete CS is totally dependent on the individual. It depends on how dedicated and how much you work towards it. Along with this, your intellect, memory, time management, numerical skills and interpersonal skills play a defining role in determining how long a person would take to complete CS. However, on average, it takes about 3 years to complete CS.
